These, Terms & Conditions form a legal agreement between Your Doc 24/7 NC LLC (“Your Doc 24/7,” “we,” “us,” or “our”) and you, the individual ("you" and "your") with respect to your access to and use of the various services offered through the Websites and mobile applications. Use of any of the Websites or Platforms constitutes your acceptance of these Terms and Conditions and the Web and Mobile Privacy Policy.

Please read these Terms and Conditions carefully before using the Services.  The terms and features of the services are subject to change and vary from service to service and may be modified at any time. Use of Your Doc 24/7 Services, constitutes an agreement by you, the user, that your use is governed by these Terms of Service.

IMPORTANT INFORMATION

Your Doc 24/7 does not provide any physicians or other healthcare providers (collectively, “Providers”) services itself. All the Providers are independent of Your Doc 24/7 and merely using the Services to communicate with you.  Any information or advice received from a Provider comes from the Provider alone, and not from Your Doc 24/7.  Neither Your Doc 24/7, nor any of its subsidiaries or affiliates or any third-party who may promote the Service or provide a link to the Service, shall be liable for any professional advice acquired from a health care provider via the Service or for any other information acquired on the website. 

Your Doc 24/7 does not endorse any specific tests, physicians, medications, products or procedures that are recommended by providers that may use Your Doc 24/7 to communicate with you. You acknowledge that your reliance on any healthcare providers or any information given by the providers via the Service is solely at your own risk and you undertake full responsibility for all risk associated herewith.

Your Doc 24/7 does not make any representations or warranties about the training or skill of any Providers who provide services through our Service. You are ultimately responsible for choosing your provider.  You will be provided with a list of available providers located in your region at the time of the appointment based solely on the information you or your plan sponsor provides to Your Doc 24/7.

ELECTRONIC COMMUNICATION

When you utilize any of Your Doc 24/7 Service or send e-mails, text messages, and other communications from your desktop or mobile device to us, you are communicating with us electronically. You consent to receive communications from us electronically. You agree that (a) all agreements and consents can be electronically signed and (b) all notices, disclosures, and other communications that we provide to you electronically meet any legal requirement that such notices and other communications be in writing.

When you opt-in to the service, we will send you a confirmation mail/ message to confirm your sign up.

If you download our app and set-up an account we may send you SMS text messages to a) verify your identity as a form of two-factor authentication b) assist to remind you to take a scheduled medication or c) to provide instructions or notifications about your prescription.

SITE ACCESS, PASSWORD, SECURITY AND USAGE RESTRICTIONS

You are solely responsible for the security of your user credentials (username and password), and any use of the Services using your credentials.  You should not share your User ID credentials with any third party or allow any third party to access the Services using your username and password.  You agree to notify us if you have any reason to believe that your username or password has been lost, compromised, or misused in any way.  We reserve the right to revoke or deactivate your user credentials at any time.

You and other Website users may not:

· Copy, replicate, modify, use, republish, upload, post, transmit, distribute or exploit in any way material from this Website other than as part of this Website without Your Doc 24/7’s express written consent.

· Copy, modify or display Your Doc 24/7’s trademarks, names or logos appearing on this Website in any way without Your Doc 24/7’s express written consent.

· Redeliver any of the pages, text, images or other content of this Website using "framing" technology without Your Doc 24/7’s express written consent.

CONTENT

Apart from the information received directly by you from Providers, the content on the Services should not be considered medical advice. You should always seek advice from a qualified health care professional for diagnosis and treatment, including information regarding appropriate medications for you. NONE OF THE CONTENT OF THE SITE AND THE SERVICES INCLUDING TEXT, COPY, AUDIO, VIDEO, PHOTOGRAPHS, ILLUSTRATIONS, GRAPHICS AND OTHER VISUALS REPRESENTS OR WARRANTS THAT ANY PARTICULAR MEDICATION OR TREATMENT IS SAFE, APPROPRIATE, OR EFFECTIVE FOR YOU. Your Doc 24/7 does not recommend or endorse any specific tests, providers, medications, products, or procedures. ALL HEALTHCARE PROVIDERS IDENTIFIED OR ACCESSIBLE ON THE SITE ARE INDEPENDENT PROVIDERS AND ARE NOT EMPLOYED BY OR AFFILIATED WITH Your Doc 24/7.

PAYMENT AUTHORIZATION

​

By providing a credit card or other payment method accepted by Your Doc 24/7 (“Payment Method”), you are expressly agreeing that we are authorized to charge to the Payment Method any fees for the services you plan to use, together with any applicable taxes.  Please note that Your Doc 24/7 may not obtain complete information from your health insurance plan, if applicable, regarding the applicable co-pay due from you for your consultation.  In case of additional co-pay amounts due, you may be billed more than once with respect to a consultation.

You agree that authorizations to charge your Payment Method remain in effect until you cancel it in writing, and you agree to notify Your Doc 24/7 of any changes to your Payment Method.  You herein certify that you are an authorized user of the Payment Method and will not dispute charges for the Services that correspond to consultation fees or the co-payment required by your health plan.  You acknowledge that the origination of ACH transactions to your account must comply with applicable provisions of U.S. law.  In the case of an ACH transaction rejected for insufficient funds, Your Doc 24/7 may at its discretion attempt to process the charge again at any time within 30 days.

You acknowledge and agree that fees for consultations may change at any time.

CONSENT TO SERVICES

The Service respects and maintains patient confidentiality concerning protected health information as outlined by the Health Insurance Portability and Accountability Act (“HIPAA”), and, subject to HIPAA regulations, will attain express patient consent before sharing any patient-identifiable information to a third party for purposes other than treatment, payment or health care operations. Furthermore, by clicking the “AGREE” button you are authorizing Providers to release your contact information to Your Doc 24/7 solely for us to provide you with information about additional clinical services or general wellness.  You may opt-out of receiving such information by contacting us at admin@yourdoc247.com.

CONSENT FOR TREATMENT

Your Doc 24/7 Telemedicine involves the use of communications to enable  remote healthcare providers to reach patients virtually and provide consultative services. Providers may include, yet are not limited to: hospitals, nurses,  primary care practitioners and specialists, physicians, nurse practitioners, physician assistants, medical assistants, phlebotomists, medical secretaries, and care coordinators. The information may be used for diagnosis, therapy, follow-up and/or education, and may include live two-way audio and video consultation and other materials (medical records, data from medical devices).

To protect the confidentiality of patient information and to incorporate reasonable measures to safeguard the data while ensuring its integrity against intentional or unintentional corruption, the communications systems used will incorporate reasonable security protocols. At the end of each consult, the patient will be provided an consult summary, which may be kept for the patient’s records and may be shared with the patient’s local primary care or other provider, as appropriate.

POSSIBLE RISKS OF TELEMEDICINE

As with any medical procedure, there are potential risks associated with the use of telemedicine, which may include, without limitation, the following:

· Delays in medical assessment and consultation or treatment may occur due to inadequacy or failures of the equipment.

· Failure of security protocols, causing a breach of privacy of personal medical information.

· Lack of access to complete medical records which may result in adverse drug interactions or allergic reactions or other negative  health outcomes.

· Failure by you to provide complete, clear and accurate documents or information to the Provider which could affect the Provider’s ability to accurately diagnose your health condition, and provide  you the appropriate medical treatment.

By accepting these Terms, you acknowledge that you understand and agree with the following:

· I understand that  telemedicine comes under the laws that protect privacy and the confidentiality of medical information; I have received the HIPAA Notice which explains these issues in more detail.

· I understand that use of telemedicine may involve electronic communication of my personal medical information to health care providers who may be located in the areas, other then my state.

· I understand that no results can be guaranteed or assured  with the use of telemedicine, I may expect the anticipated benefits from the use of telemedicine in my care,

· I understand that my healthcare information may be shared with health care professionals (including health care providers and health insurers) for treatment, payment, and healthcare operations purposes. Psychotherapy notes will be maintained by clinicians but not shared with others, while billing codes and encounter summaries are shared with others and with me.  If I undergo psychotherapy from a Provider, I understand that my therapist has the right to limit the information provided to me if in my therapist’s professional judgment sharing the information with me would be harmful to me.

I also understand that my healthcare information may be shared in the following circumstances:

· For medical records: a valid court order is issued.

· Reporting suspected abuse, neglect, or domestic violence.

· Health or safety: preventing or reducing a serious threat to anyone’s health.

Patient Consent to the Use of Telemedicine

I have read and understand the information provided above, and understand the risks and benefits of telemedicine, and by accepting these Terms I hereby give my informed consent to participate in a telemedicine visit under the terms described here.

Your Doc 24/7 Communication

​

Your Doc 24/7 communication methods involve use of electronic communications, text messages, in-app chat or call  to reach  patients in order to provide medication and treatment plan adherence services. Providers may include hospitals, nurses, care takers, etc. The information may be used for therapy, follow-up and/or education, and may include two way interaction via in-app texting or call.

PROHIBITED USE

​

In using the Websites and Platforms, you agree not to:

· Direct or transmit any message or information that is unlawful, harassing, defamatory, threatening, hateful, infringing, harmful, or otherwise objectionable material of any kind, that can cause harm or delay of the Websites and Platforms or computers of any kind

· Misrepresent identity or affiliation in any way

· Restrict or inhibit any person from using the Websites and Platforms, disclose personal information obtained from the Websites and Platforms or collect information about users of the Websites and Platforms

· Change engineer, disassemble or decompile any section or technology on the Websites and Platforms, or attempt to do any of the foregoing

· Gain unauthorized access to the Websites and Platforms, to other users' accounts, names, personally identifiable information or other information, or other computers or websites connected or linked to the Websites and Platforms

· Launch or use any automated system, including without limitation,"robots," "spiders," or "offline readers," that  provides access to the Websites and Platforms in a manner that sends more request messages to our servers in a given frame of time which is otherwise not possible for a human to produce in the same period by using a conventional web browser

· Send or otherwise transmit to or through the Websites and Platforms chain letters, uninvited messages, so-called "spamming" or "phishing" messages, or messages marketing or advertising goods and services

· Post, transmit or otherwise introduce any virus, spyware or any other computer code, file or program that may or is intended to damage or hijack the operation of any hardware, software or telecommunications equipment

· Violate any applicable laws or regulations in any way

· Alter or modify any part of the content or services offered on or through the Websites and Platforms

· Allow any other person to use the Platforms with your registration or login information

· Breach or otherwise circumvent Your Doc 24/7’s security or authentication measures; and

· Assist or permit any personnel in engaging in any of the activities described above

INDEMNIFICATION

You agree to indemnify, defend and hold our principals, owners, managers, officers, directors, employees, agents, subsidiaries, affiliates, licensors, and suppliers from and against all claims, actions, demands, liabilities and settlements, including without limitation reasonable legal, accounting and expert fees and costs (“Claims”) resulting from, or alleged to result from, your use of the Site and/or the Site Content, and/or a violation of this Terms. We reserve the right to assume the exclusive defense of any claim for which We are entitled to indemnification under this agreement.

DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

The services on the site and the content provided on the site are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied. Your Doc 24/7 expressly disclaims all without warranties of any kind, either express or implied, including without limitation warranties of title, merchantability, fitness for a particular purpose, non-infringement, violation of rights and any other information and materials on the site. Your Doc 24/7 does not warrant that the site, site content, or the other information or materials on the site  are accurate, complete, error-free, or reliable and  expressly disclaim any liability for any misspells, errors or omissions in the content included in the Services or any third-party sites linked to or from the Services.

You acknowledge and agree that Your Doc 24/7 provides an online platform to connect patients to independent third-party providers and Your Doc 24/7 does not provide medical advice, diagnosis, or treatments. Your Doc 24/7 , its licensors, suppliers, and all third parties who promote the services or provide you with a link to the services expressly disclaim any and all liability resulting from the delivery of healthcare throughout the service, including but not limited to liability for medical malpractice.
